Terms of Reference (TOR) for the Engagement of a Part-time Legal Consultant

1.Background

The Ethiopian Deposit Insurance Fund (EDIF) was established under Council of Ministers Regulation No. 482/2021 with the primary objectives of protecting depositors and contributing to the stability and soundness of the country's financial system.

The Operational activities commenced in April 2023, and since then, several activities have been undertaken to establish the institutional framework, develop operational systems, and commence the Fund's functions. A TO PAPA

Currently, the Fund does not have permanent legal staff. However, considering the importance of legal compliance and the complexity of the Fund's mandate, EDIF requires the services of a qualified and experienced legal professional on a part-time, contract basis. The consultant will provide comprehensive legal advisory services and support the Fund in handling legal matters related to its operations, governance, regulatory responsibilities, and administrative functions.

Therefore, the purpose of this Terms of Reference (TOR) is to invite qualified legal professionals to submit proposals for the provision of part-time legal consultancy services to EDIF.

2.Objective of the Assignment

The objective of this assignment is to engage e an experienced legal consultant who can provide comprehensive legal advisory and support services to the Fund on a part-time contract basis.

The consultant will assist EDIF in addressing its legal requirements, ensuring compliance with applicable laws and regulations, protecting the interests of the Fund, and providing timely legal guidance to the Board of Directors, management, and relevant departments.

3.Scope of Consultancy Services

The selected legal consultant shall provide legal advisory services in accordance with the establishment Regulation of the Fund, applicable laws, regulations, directives, policies, procedures, and other relevant legal frameworks of Ethiopia.

The scope of services shall include, but not be limited to, the following:

a. Provide legal advice and support on all areas related to the Fund's business operations and internal administration. This includes matters related to human resource management, procurement, accounting and finance, reimbursement,  governance, and other administrative issues.

b. Provide legal support in drafting, reviewing, and revising regulations, directives, policies, procedures, contracts, agreements, memoranda of understanding, memorandum of associations, procurement documents such as RFQs/RFPs, and other legal documents as required by the Fund.

c. Review and provide legal comments and recommendations on applicable laws, regulations, directives, policies, procedures, agreements, and other documents submitted

d. Provide legal advice and guidance to the Board of Directors and management of EDIF on legal and regulatory matters.

e. Ensure that the Fund's activities comply with applicable laws, regulations, and governance requirements while safeguarding the Fund's interests.

f. Provide legal representation and advisory services during negotiations, arbitration proceedings, dispute resolution processes, and other legal engagements.

g. Assist the Fund in handling grievances, complaints, and legal issues arising from its operations.

h.Provide legal advice on matters related to information disclosure, confidentiality, data protection related to legal obligations.

i. Manage and provide legal support in relation to legal disputes involving the Fund.

j. Represent the Fund before courts, tribunals, administrative bodies, or other relevant authorities when required.

k. Provide legal support, as requested by the fund, in dealing with parties responsible for the failure of banks or microfinance institutions and assist in managing related legal proceedings. 

I. Perform any other legal advisory assignments assigned by the Board of Directors and/or management of EDIF.

4.Required Qualification and Experience

Interested applicants must meet the following minimum requirements:

  1. Master of Laws (LL.M.) degree or a closely related field from a recognized university.
  2. Valid legal authorization, certificate, or license issued by the relevant government authority to provide legal advisory service
  3. Valid and renewed professional license, including registration for Tax Identification Number (TIN) and Value Added Tax (VAT), where applicable
  4. Minimum of eight (8) years of professional experience in providing legal advisory services,
  5. Minimum of Three (3) years of experience in a managerial position overseeing legal services.
  6. Demonstrated experience in providing legal support and advisory services for institutional projects, regulatory reforms, and project implementation activities.
  7. Strong knowledge and understanding of Ethiopian financial sector laws, regulations, directives, and regulatory frameworks.
  8. Excellent legal drafting, negotiation, communication, and analytical skills.

5.Duration of the Contract

  1. The contract period for the part-time legal consultancy service shall be Six (6) months, with the possibility of extension based on the performance of the consultant and the needs of the Fund.
  2. The contract period may be shortened upon mutual agreement between EDIF and the consultant, considering the interests and circumstances of both parties.
  3. Number of Requirements 1 (one)

6.Special Requirements

  1. The consultant shall be available to provide services at the EDIF office for a minimum of six (6) hours per week.
  2. The consultant shall be available to provide legal advice, attend meetings, and perform assigned tasks whenever required by the Fund.
  3. The consultant shall maintain confidentiality regarding all information, documents, and matters obtained during the provision of legal services.
  4. Any legal assignments to be performed remotely or on an as-needed basis shall be communicated to the Legal Consultant via email, telephone, or any other EDIF-approved communication channel.

The Consultant shall execute such assignments diligently, adhering strictly to the provided instructions and agreed-upon timeframes. Upon completion, the Consultant shall submit all required reports, legal opinions, and deliverables to the designated EDIF authority or relevant department."

Submission of Expression of Interest

Interested applicants shall submit the following documents:

  1. Updated Curriculum Vitae (CV);
  2. Copies of relevant academic and professional credentials;
  3. Valid professional legal license/certificate:
  4. Evidence of TIN and VAT registration, where applicable;
  5. Financial proposal submitted in a separate sealed envelope.

8. Evaluation and Selection

  • EDIF will evaluate submitted applications based on the applicant's qualifications, professional experience, relevant financial sector legal expertise, proposed consultancy fee, and suitability to provide the required legal services.
  • EDIF reserves the right to select or reject any consultant based on the Fund's requirements and needs.

9. Submission Address
