1. Introduction

Dashen Breweries Share Company S.C. invites eligible and qualified consulting firms to express their interest in providing consultancy services to review and revise its Memorandum of Association (MoA) and Articles of Association (AoA), and to develop a comprehensive Corporate Governance Policy.

This Expression of Interest (EOI) is issued to identify and shortlist competent consulting firms with proven expertise in corporate law, governance frameworks, and regulatory compliance.

2. Background

Dashen Breweries operates under constitutional documents developed under earlier legal frameworks, which have not been comprehensively updated in line with recent regulatory, economic, and governance developments.
With the introduction of the revised Ethiopian Commercial Code and evolving corporate governance standards, there is a need to modernize these documents to:

• Ensure full legal compliance 
• Strengthen governance structures 
• Align with international best practices 
• Support sustainable growth and competitiveness 

3. Objective of the Assignment

The objective of this consultancy is to modernize Dashen Breweries’ constitutional and governance framework by:

• Reviewing and revising the MoA and AoA in line with the revised Ethiopian Commercial Code and applicable laws 
• Aligning constitutional documents with shareholder agreements and governance policies 
• Developing a comprehensive Corporate Governance Policy incorporating international best practices 

4. Scope of Services

The consultancy firm is expected to undertake, but not limited to, the following:

A. Review and Assessment

• Review existing MoA and AoA 
• Assess compliance with relevant laws and governance standards 
• Identify gaps, inconsistencies, and risks 
• Analyze stakeholder inputs (Board, management, shareholders) 

B. Benchmarking

• Benchmark governance structures against international and regional best practices 
• Recommend improvements to governance frameworks 

C. Drafting and Development

• Prepare revised MoA and AoA 
• Develop a Corporate Governance Policy covering: 
• Board structure and responsibilities 
• Management accountability 
• Governance committees 
• Risk management and internal controls 
• Ethics, transparency, and conflict of interest 
• CSR and sustainability principles 

D. Consultation and Validation

• Facilitate stakeholder consultations and workshops 
• Present findings and draft documents 
• Incorporate feedback into final deliverables 

E. Finalization and Support

• Submit final documents 
• Provide advisory support during approval processes 
• Conduct awareness sessions for implementation 

5. Expected Deliverables

Shortlisted firms will be expected to deliver:

• Inception Report (methodology and work plan) 
• Diagnostic/Assessment Report 
• Draft and Final Revised MoA and AoA 
• Draft and Final Corporate Governance Policy 
• Stakeholder workshops and presentations 
• Advisory support during adoption and implementation 

6. Duration of Assignment

The assignment is expected to be completed within one and half (1 1/2) months from the date of contract signing.

7. Eligibility Criteria

Interested consulting firms must demonstrate:

• Proven experience in corporate law and governance 
• Strong knowledge of Ethiopian Commercial Code and regulatory frameworks 
• Experience in revising MoA and AoA for large organizations 
• Expertise in developing corporate governance frameworks 
• Availability of a qualified multidisciplinary team 
• Track record of similar assignments 

8. Submission Requirements (EOI Stage)

Interested firms are invited to submit an Expression of Interest including:

• Company profile and background 
• Relevant experience and references 
• Description of similar assignments completed 
• Summary of proposed approach and methodology 
• Key experts and team structure 

Note: Financial proposals are not required at the EOI stage. Shortlisted firms will be invited to submit full proposals.

9. Shortlisting Criteria

Firms will be shortlisted based on:

• Relevant experience and track record 
• Technical capability and expertise 
• Qualifications of key personnel 
• Understanding of the assignment 

10. Confidentiality

All information provided by Dashen Breweries Share Company S.C. shall be treated as strictly confidential and used solely for the purpose of this assignment. A formal confidentiality agreement will be signed between the Company and the selected consultant prior to the commencement of the engagement

11. Ownership of Outputs

All deliverables produced under the assignment shall remain the exclusive property of Dashen Breweries Share Company S.C.
