CONSULTANCY SERVICES FOR IFRS CONVERSION AND CAPACITY BUILDING HEAL AFRICA HEALTH CITY SHARE COMPANY

Background:

Heal Africa Health City S.C. is a pioneering, multi-specialty healthcare share company dedicated to establishing a state-of-the-art health city and centers of medical excellence in Ethiopia. In alignment with our strategic corporate growth and to fulfill the regulatory mandates of the Ethiopian Capital Market Authority (ECMA) for the registration of shares and prospectuses, as well as the requirements of the Accounting and Auditing Board of Ethiopia (AABE) pursuant to the Financial Reporting Proclamation, our company is transitioning its financial reporting framework from Local GAAP to International Financial Reporting Standards (IFRS).

Consequently, Heal Africa Health City S.C. invites eligible, highly qualified financial consulting firms or individual consultants to submit their technical and financial proposals to lead this statutory transition and staff capacity-building project.

Objective of the Assignment:

The primary objective of this consultancy is to successfully convert the company's historical and current GAAP-based financial statements into fully IFRS-compliant reports that satisfy both AABE standards and ECMA prospectus requirements, while building internal staff capacity for sustained future compliance across our business units.

Scope of Work:

The selected consultant will be expected to execute the following key tasks:

1. Diagnostic & Gap Analysis: Review current accounting policies, processes, and financial Statements, to map out all differences between existing GAAP and IFRS.

2. IFRS Conversion & Reporting: Prepare the opening IFRS statement of financial position, convert the required historical financial periods, and draft the final prospectus-ready financial reports.

3. Policy & Manual Development: Update and draft an IFRS-compliant corporate financial policy and accounting procedures manual.

4. Capacity Building & Training: Design and deliver comprehensive, practical training sessions for the internal finance and audit teams to ensure smooth, independent future implementation.

Minimum Qualification & Experience Requirements:

  • Valid professional practice license issued by the Accounting and Auditing Board of Ethiopia (AABE).
  • Lead experts must hold relevant professional qualifications (ACCA, CPA, or equivalent) and advanced degrees in Accounting, Finance, or Business Administration.
  • Proven track record of executing successful IFRS conversion projects in Ethiopia, ideally for large share companies, financial institutions, or healthcare networks.
  • Through understanding of the Ethiopian Financial Reporting Proclamation, AABE directives, and the ECMA legal framework.
