CBE Capital Investment Bank S.C hereby invites eligible and qualified audit firms to submit technical and financial proposals for the provision of External Audit Services for the Company's financial statements for the 2018, 2019, and 2020 Ethiopian Fiscal

INVITATION FOR BID

PROCUREMENT OF EXTERNAL AUDIT SERVICES

1. Background

CBE Capital Investment Bank S.C. ("CBE Capital") is an investment bank licensed by the Ethiopian Capital Market Authority (ECMA), providing securities brokerage and investment banking services in Ethiopia. CBE Capital hereby invites eligible and qualified audit firms to submit technical and financial proposals for the provision of External Audit Services for the Company's financial statements for the 2018, 2019, and 2020 Ethiopian Fiscal Years. The audit shall be conducted in accordance with the International Standards on Auditing (ISA), and the financial statements shall be audited against the International Financial Reporting Standards (IFRS) and applicable Ethiopian laws and regulatory requirements.

Interested audit firms meeting the following eligibility and qualification requirements are invited to participate in this procurement process.

2. Eligibility Requirements

The bidding audit firm shall satisfy the following legal, professional, and ethical requirements:

A. Legal and Regulatory Requirements

The audit firm shall:

1. Possess a valid and renewed professional audit license to audit public interest entities issued by the AABE.
2. Have a valid Tax Identification Number (TIN) and VAT Registration Certificate.
3. Comply with all applicable ECMA directives, supervision guidelines, relevant laws and regulations, and the professional standards governing external auditors in Ethiopia.

B. Independence and Ethical Requirements

To ensure auditor independence, the audit firm shall confirm that it:

1. Maintains professional independence, integrity, and objectivity in accordance with applicable ethical standards.
2. Is not a shareholder, employee, or consultant of CBE Capital Investment Bank S.C.
3. Is not represented on the Board of Directors, management, internal audit function, or Company Secretary of CBE Capital.
4. Has no relationship by consanguinity or affinity with any member of the Board of Directors, Chief Executive Officer, Internal Auditor, or Board Secretary of CBE Capital.
5. Is not owned, managed, or controlled by any of the persons identified above.
6. Is neither a parent company, subsidiary, nor an affiliated entity of CBE Capital Investment Bank S.C.

3. Scope of Services

The successful audit firm shall perform the following services:

1. Audit the financial statements of CBE Capital Investment Bank S.C. for the 2018, 2019, and 2020 Ethiopian Fiscal Years.
2. The accounting records and supporting documents are maintained in approximately 13 box files for the 2018 E.C. financial year. The volume is expected to increase to approximately 20 box files for 2019 E.C. and 25 box files for 2020 E.C.
3. Conduct the audit in accordance with the International Standards on Auditing (ISA).
4. Express an independent opinion on whether the financial statements present fairly, in all material respects in accordance with International Financial Reporting Standards (IFRS).
5. Review the accounting records, supporting schedules, and related documentation prepared by the Bank.
6. Prepare and submit:

• Independent Auditor's Report;
• Audited Financial Statements; and
• Management Letter presenting illustrative examples of internal control weaknesses, audit findings, recommendations, and areas for operational improvement.

7. Perform the audit at the Company's Head Office located in Addis Ababa.

8. Coordinate with the Company's management throughout the audit process and communicate significant audit findings on a timely basis.

4. Technical Requirements

Interested audit firms shall submit evidence demonstrating the following:

• Proven experience in auditing financial institutions, preferably investment banks, commercial banks, insurance companies, capital market intermediaries, or other regulated financial institutions.
• Eligible to Audit Public companies as per AABE eligibility criteria.
• Qualified audit professionals with relevant certifications and experience in auditing under IFRS and ISA.
• Capacity to complete the audit assignment within the proposed timeframe.
• Previous assignments of similar size and complexity, including references where applicable.

5. Financial Proposal

The financial proposal shall clearly indicate:

1. Professional audit fee for each financial year.
2. Estimated duration required to complete each annual audit.
3. Expected date of submission of the draft and final audit reports.

6. Reservation of Rights

CBE Capital Investment Bank S.C. reserves the right to accept or reject any or all proposals, to cancel or amend the procurement process, or to annul the bidding process at any stage prior to contract award without incurring any liability to bidders or any obligation to disclose the reasons for such decision.

Only firms meeting the eligibility requirements and demonstrating the required technical and professional capacity will be considered for further evaluation.
