1. INVITATION

Digaf Micro Credit Provider S.C., a microfinance institution licensed and supervised by the National Bank of Ethiopia (NBE), invites qualified and independent audit firms licensed in Ethiopia to submit Expressions of Interest and proposals for the statutory external audit of Digaf for the financial years ending 30 June 2025 (FY 2024/25) and 30 June 2026 (FY 2025/26).

The selection will be conducted competitively in accordance with applicable Ethiopian law and NBE Directive No. MFI/37/2024. Appointment/ reappointment for each year remains subject to the required corporate approvals, NBE approval, independence and fit-and-proper requirements, and satisfactory performance.

2. KEY SCOPE OF THE ASSIGNMENT

  • Audit annual financial statements and express an independent audit opinion in accordance with ISA and the applicable Ethiopian financial- reporting framework.
  • Assess compliance with relevant NBE regulatory requirements and applicable Ethiopian laws.
  • Review loans, investments, other assets, provisions for non-performing loans, fair-value estimates and other significant accounting estimates
  • Review capital adequacy and liquidity ratio computations for compliance with NBE requirements.
  • Assess financial reporting and internal controls, including risks of material misstatement, fraud and control weaknesses.
  • Apply a documented risk-based approach covering an appropriate number of Digaf branches and/or sub-branches.
  • Participate in Board entry and exit meetings and provide required presentations and deliberations.
  • Prepare the final independent auditor's report, management letter and other regulatory deliverables, including direct reporting obligations to NBE where required.

3. MINIMUM ELIGIBILITY REQUIREMENTS

  • The audit firm and every proposed partner must hold valid AABE professional licenses and business/trade licenses.
  • All proposed audit-team members must demonstrate IFRS knowledge/training.
  • The proposed audit manager must have at least three years' experience auditing financial institutions.
  • The team must have relevant banking, microfinance and/or financial-institution audit experience.
  • The firm must demonstrate competence in fair-value estimation and related valuation processes.
  • The firm and proposed team must satisfy NBE independence, ethical, conflict-of-interest and fit-and-proper requirements.
  • No proposed team member may have been employed by Digaf during the preceding three years.
  • All prescribed NBE independence and fit-and-proper declarations must be submitted.

4. KEY DOCUMENTS TO ACCOMPANY THE PROPOSAL

  • Signed application/cover letter and firm profile.
  • Valid trade/business license, AABE professional license and practicing licenses for partners.
  • TIN and current tax-clearance certificate.
  • AABE no-disciplinary-action certificate.
  • CVs, qualifications, certifications and availability of the engagement partner, audit manager and proposed team.
  • IFRS training certificates for all proposed audit-team members.
  • Evidence of relevant microfinance and financial-institution audit experience and client references.
  • Technical proposal covering methodology, risk assessment, IFRS/ECL/fair-value approach, branch coverage. IT/control work, timetable and quality assurance.
  • Separate financial proposal showing professional fees and all applicable taxes/costs for each fiscal year.
  • NBE Annex I Independence Confirmation and Annex II Fit and Proper Declaration for each proposed team member.
  • Police good-conduct certificates and valid ID/passport copies for proposed team members.
  • Proposed engagement letter/contract and required declarations.
